The KeyMe Pass Terms of Service is a valid agreement between KeyMe Pass and users (hereinafter referred to as "you") regarding the use of KeyMe Pass services.

1. About Us

Thank you for choosing KeyMe Pass. KeyMe Pass is provided and operated by Shenzhen Yudodo Network Technology Co., Ltd. (hereinafter referred to as "we" or "KeyMe Pass Development Team").

The KeyMe Pass Terms of Service is a valid agreement between KeyMe Pass and users (hereinafter referred to as "you") regarding the use of KeyMe Pass services.

2. Agreement Scope, Purpose and Acknowledgement

This Terms of Service and ancillary agreements, as well as any individual agreements, rules, or operation prompts displayed on the page (collectively referred to as "this Agreement") constitute the terms and conditions for us to provide KeyMe Pass services to you. They are indivisible and must be observed simultaneously.

Please read all terms of this Agreement carefully, especially the bolded sections.

If you have any questions about the content of this Agreement or the information prompts on the page, please do not proceed. If you use KeyMe Pass services, you are deemed to have read and agreed to be bound by this Agreement.

If you do not agree to any part of this Agreement, or cannot accurately understand the terms, please stop using it and do not proceed with any subsequent operations.

3. Requirements for Using This Service

3.1 You must have full civil capacity to use KeyMe Pass services. If you are without civil capacity or with limited civil capacity, please inform your guardian, read this Agreement under their guidance, and use KeyMe Pass services only with their consent.

3.2 You explicitly declare and warrant that: you have sufficient legal rights or authorization to sign and perform this Agreement; and your signing and performing of this Agreement will not conflict with or cause breach of any other agreements or arrangements you must fulfill.

3.3 If your country or region excludes all or part of this Agreement, you should immediately stop using KeyMe Pass services. Otherwise, your continued use of KeyMe Pass services shall be deemed your consent to bear the related legal risks or legal responsibilities.

4. Service Content

KeyMe Pass is a password and sensitive information management tool. Main features include but are not limited to: creating, editing, categorizing, searching, and locally encrypted storage of passwords/documents and other information, as well as optional data export, WebDAV backup/sync and other functions you actively enable. Specific features are subject to what is actually provided in the app.

You understand and agree: unless you actively enable WebDAV backup/sync and other network functions, KeyMe Pass can be used offline; when you enable WebDAV backup/sync, data is transmitted and stored on your chosen WebDAV server (KeyMe Pass official WebDAV service or your own WebDAV service) in encrypted form.

5. User Conduct Rules

5.1 Operations performed using your identity credentials shall be deemed as performed by you, and you shall be responsible for all results of actions taken using your identity credentials (including but not limited to signing various agreements, publishing information, paying for goods and services, disclosing information, etc.). Any risks and losses caused by account or password information being impersonated, stolen or illegally used due to you shall be borne by you.

5.2 When using KeyMe Pass services, please carefully fill in and verify your personal information to ensure it is true, accurate, complete and valid.

5.3 Please consider your actual needs and personal information carefully, confirm and choose to use KeyMe Pass services.

5.4 You acknowledge and agree that if you make errors in input, improper operations, or wrong choices, you shall bear the economic losses and consequences yourself.

5.5 Please keep your verification information (such as PIN code, credentials related to backup/sync, etc.) secure. If you forget, leak, or accidentally lose this information, or if your device is damaged, the app is uninstalled, or data is cleared, resulting in data loss or inability to recover, the related risks and losses shall be borne by you.

5.6 If you use WebDAV backup/sync, you shall ensure that the WebDAV server information you provide is true, legal and you have the right to use it; issues such as connection failures, insufficient storage space, permission errors, or third-party server failures may result in backup/sync failure or data unavailability.

6. Disclaimer

KeyMe Pass is provided "as is." You understand and agree that password and sensitive information management carries certain risks, and you should use it cautiously based on your needs and take necessary backup and security measures yourself.

Due to network failures, system maintenance or instability, hacker attacks, power department technical adjustments or failures, or bank reasons, resulting in failures, interruptions or delays in KeyMe Pass services, this does not constitute a breach by the KeyMe Pass Development Team, but we will make every effort to restore normal service.

The KeyMe Pass Development Team provides technical platform services only "as is." To the extent permitted by law, the KeyMe Pass Development Team shall not be liable for service interruptions, delays or obstructions caused by the following:

(1) Damage caused by computer viruses, Trojans or other malicious programs or hacker attacks;

(2) Failures of your or third-party computer software, systems, hardware, networks and communication lines;

(3) Your improper operations, including but not limited to submitting incorrect personal information or errors in personal information;

(4) Other circumstances beyond the control or reasonable foresight of the KeyMe Pass Development Team.

To the extent permitted by law, we are not liable for data loss, leakage, inability to recover, etc. caused by your own reasons or third-party reasons, including but not limited to: you forgetting PIN/verification information, accidental deletion, overwriting, device loss/damage, WebDAV server failures or configuration errors.

7. Prohibited User Conduct

When using this software, you must abide by laws and regulations and must not use the services provided by this software for illegal or prohibited activities, including but not limited to:

(1) Publishing, transmitting, disseminating or storing content that endangers national security, disrupts social stability, violates public order and good customs, insults, defames, is obscene, violent or violates any national laws or regulations;

(2) Publishing, transmitting, disseminating or storing content that infringes on the intellectual property rights, trade secrets or other legitimate rights of others;

(3) Maliciously fabricating facts, concealing the truth to mislead or deceive others;

(4) Publishing, transmitting, disseminating advertising information and spam;

(5) Other acts prohibited by laws and regulations.

If your violation of this clause causes harm to any third party, you shall bear the responsibility independently; if the KeyMe Pass Development Team suffers losses as a result, you shall also compensate accordingly.

8. Changes, Suspension and Termination of Service

We have the right to change or upgrade the service content based on laws and regulations, regulatory requirements, security, or business adjustments. You may choose to stop using it.

If you violate this Agreement or relevant laws and regulations, or engage in behavior that may endanger service security, we have the right to take measures including but not limited to warnings, feature restrictions, suspension or termination of services to you within a reasonable scope.

9. Amendments to This Agreement

The KeyMe Pass Development Team has the right to modify the terms of this Agreement when necessary. You can check the relevant agreement terms in the latest version of the app.

After the updated agreement terms are published, they immediately replace the original terms. We will promptly publish changes to this Agreement on the service page. If the amendment to this Agreement will seriously affect you or seriously restrict your access to or use of the service, we will notify you within a reasonable period before the change. For amendments made to meet security, legal or regulatory requirements, we may not be able to meet the aforementioned advance notice requirement, but we will notify you as soon as possible.

If you do not accept the modified agreement after it is changed, please stop using the service immediately; if you continue to access or use the service, you are deemed to have accepted the modified agreement.

10. Applicable Law and Jurisdiction

The signing, performance, interpretation and dispute resolution of this Agreement are all governed by the laws of the People's Republic of China.

You agree that the place of signing of this Agreement is Nanshan District, Shenzhen City, China.

If a dispute arises during the performance of this Agreement, both parties shall resolve it through negotiation; if negotiation fails, both parties shall resolve it through litigation in the people's court with jurisdiction over the place of signing of this Agreement.
